DraftKings buys Golden Nugget Online Gaming

On August 9, 2021, DraftKings Inc. announced it would acquire Golden Nugget Online Gaming, Inc. (GNOG) in an all-stock transaction valued at roughly $1.56 billion. The deal closed May 5, 2022, after clearing regulatory hurdles. Tilman Fertitta, GNOG's largest shareholder, joined DraftKings' board of directors. DraftKings then folded in GNOG's iGaming platform and operations.

GNOG shareholders received 0.365 shares of DraftKings Class A common stock for each GNOG share they held. Fertitta controlled about 46 percent of GNOG before the announcement, which made the exchange ratio decisive for his post-close influence. His exact stake in the combined entity was not disclosed, but the math put him among DraftKings' largest individual shareholders.

DraftKings, headquartered in Boston, built its name on daily fantasy sports and sports betting. Golden Nugget Online Gaming operated under Fertitta's Golden Nugget brand, famous for its physical casinos. The real asset, though, was a polished online casino operation that DraftKings lacked at scale.

Why DraftKings Paid in Stock

DraftKings chose an all-stock structure over cash or a blend. That preserved cash for operations and future bets. It also gave GNOG shareholders, Fertitta foremost among them, a stake in any share-price upside after the acquisition closed.

The $1.56 billion equity valuation carried a premium over GNOG's pre-announcement trading price. DraftKings did not publish the exact percentage. Regulators and customary closing conditions stretched the timeline: the company initially aimed for the first quarter of 2022, but the deal landed on May 5.

The stock-only approach signaled confidence that DraftKings' own shares were priced fairly, or even cheaply, at the time. Issuing new Class A shares diluted existing holders. DraftKings argued the strategic gains would outweigh that dilution over time. That argument now sits in the lap of the market.

What DraftKings Got: Platform and Players

The iGaming engine

DraftKings pointed to two strategic prizes. The first was GNOG's live iGaming operation, spanning online slots, table games and other casino titles, already collecting revenue in multiple states. DraftKings had dominated daily fantasy and sports betting, but in several markets the online casino segment was growing faster than sports wagering.

Five million names

The second was a database of more than five million people, built over years of running the online casino. It held player preferences, spending patterns and deposit histories. DraftKings planned to cross-sell sports betting and daily fantasy into that pool, while pushing GNOG's casino titles to its own existing users. Revenue synergy and cost-savings targets stayed undisclosed. The company said the deal would boost revenue growth but declined to publish a timeline for profitability improvements or integration costs.

Tilman Fertitta's Role and Ownership

Tilman Fertitta, the billionaire behind Golden Nugget's physical casinos and the NBA's Houston Rockets, was the deal's linchpin. His 46 percent GNOG stake gave him effective control. The agreement promised him a board seat at close, and he took it.

That seat brought DraftKings hospitality and gaming-operations expertise, plus relationships with regulators and land-based casino operators. His ownership percentage in the merged firm was never disclosed, but the exchange ratio and his pre-deal position made him one of DraftKings' largest individual shareholders.

Fertitta's presence signaled that DraftKings was serious about the iGaming market. He had already built Golden Nugget into a recognized name across both physical and digital gaming. His personal capital in the combined company tethered his interests to DraftKings' long-term performance.

How the Deal Shifted DraftKings' Standing

A counterweight to FanDuel and BetMGM

The acquisition let DraftKings face FanDuel and BetMGM directly in online casino. Before the deal, its sports-betting engine was strong but its casino offering was light. GNOG delivered a mature platform ready to deploy in any state that permitted online casino play.

Higher margins, steadier revenue

Online casino play generates fatter margins and more consistent revenue than sports wagering. Sports betting is event-driven and seasonal. Casino users tend to deposit and play regularly. DraftKings' ability to cross-sell between the two products gave it a revenue edge over pure-play sportsbooks.

Technology without royalties

The deal also handed DraftKings GNOG's homegrown technology. Because GNOG had built its own platform rather than licensing one from a third party, DraftKings could integrate the stack without ongoing royalty payments. The combined company's scaled customer acquisition and data analytics made it harder for smaller competitors to match marketing spend. By May 2024, integration was complete and DraftKings continued to run the Golden Nugget Online Gaming brand alongside its own flagship.
